Dig, I understand but I'm not a lawyer. I just gave you a recent example of a Del corp that did a r/s w/o shareholder approval. It's all there in their filings. They needed SA approval to increase their ASs and got it. BUT the BoD declared the r/s w/o SA approval. How'd they do that? They did it. It just occurred. If you think the way Wave presented the proposals was easily understood to shareholders and wasn't diliberately intended to to confuse while impling the necessity of r/s approval and increasing the number of authorized shares to retain NAS listing I disagree. It was like a hammer, take it or leave it. The very large influencial shareholders bought it. I thought it was a ruse to have the opportunity to raise way more capital than necessary. Pink sheet crap and I said as much. This could have all been accomplished w/o the massive increase in authorized shrs. Why so much if they are so close to CFBE, so close to "burning the shorts?" Could it be because they are in dire straights? Your intellect requires investigating fact. I get that and appreciate it. W/i seconds of googling I found CMN - a NYSE listed Del corp that that just did what you think they couldn't. My old memory is that this was common when I was an FA. It's the best I can do w/o more work than I have an interest to do.
