most of the time the problem is simply that the "merger" or "acquisition" is too expensive for a development stage company, so unless the company really owns a incredible breakthrough technology or something unique the deal won't go through, it happens 99% of the time

maybe some CEOs hope to get financing by dumping shares on the new suckers but rarely they succeed
