Majority holder? They are the controlling shareholder, by any standard measure. It is up to them to appoint a board and officers if the old ones resigned.

Perhaps we need to study the bylaws and legal issues. Probably better to just call in the Lawyers?

I am of the understanding that even "Major Holders" are "deemed" to be affiliates of the company if their holdings exceed 10%.
