This is what the people dont get:

Tesla issued convertible senior notes . The initial conversion rate of the Notes is 8.0306 shares of Common Stock per $1,000 principal amount of Notes (which is equivalent to an initial conversion price of approximately $124.52 per share).

Here comes the catch:

The notes mature in 2018 but maybe convertible during any calendar quarter after september 30, 2013 if the stock price equals 130% or more than the initial conversion price for at least 20 trading days.

130% means a stock price of $161.89.

Long story short: JP Morgan, GMSachs and Morgan Stanley exercised their options in full: They are long on Tesla with a price tag of at least $161.89.
