Now I know what you are going to say, they were issued in the 4th quarter of 2012 as also written on these financials:

In the 4th quarter of 2012, the Company made a change in management and refocused its operations as an independent investment, management, and holding company focusing on international distribution and management of high-growth food, beverage, and health-related products and systems. The Company issued 200,000,000 restricted common shares to KCN Capital LLC.

However, if you look at ITEM XIV - BENEFICIAL OWNERS on the Dec 31, 2012 annual report http://www.otcmarkets.com/financialReportViewer?symbol=LATF&id=98305 you will see the following:

Persons beneficially owning more than 5% of the common shares: - NONE

The way I read it, these restricted shares were issued in the 4th quarter of 2012 BUT were registered as restricted shares on Jan 24, 2013 since they weren't any restricted shares on record as of Dec 31, 2012 which I just proved.

Clear as mud? July 24th, 2013 it is then (or much later) before any of these 200 million can start hitting the market.
