When you say you are interested in finding out whether "laws have been broken" what laws are you referring to? Absent criminal activity, the "law" that applies is corporation law, and that is civil in nature and not criminal, and the question is whether legal duties have been breached, not whether laws have been broken. Establishing liability in civil matters requires proof that there has been a deviation from a particular societal or professional norm. The "business judgment rule" is the norm in corporation law.
