BP doesn't need to convince their shareholders. It's not up for a vote. And, acquisiton prices are not determined with regard to stock price. Having worked in the M&A area with public companies for over 20 years, you value the company based on multiples, cash flow,etc, not based on what the market is valuing the stock at as there is often a complete disconnect
