it doesnt matter in my calc what price the shares are sold at. The term "dilution" I used refers only to the max # of new shares that will increase o/s (or WAOS at year end). If the shares are not issued or fewer shares are issued, it will just make the WAOS smaller so the projection will be more conservative. The projection is supposed to cover the worst case scenario, not the best case.
