Sitoa will purchase IRIS Renewable Energy Asset plus waste-to-energy assets owned by other third parties in exchange for common shares in Sitoa. On completion of the acquisitions, IRIS will become the majority shareholder of Sitoa as a result of the share exchange.

Sitoa is buying them, not the other way around. IRIS will receive millions of free shares in exchange for their company, they have no reason to buy Sitoa shares. For the ones that have been fallowing this stock we know a lot of dilution took place today just like the last two months.
