What-is-the concern w/convertible preferred have-I-missed something

Not sure what the reason is for converting to common stock when the value is currently at 0.8. Also, unless this company sells something or cuts another deal with APPL they will be out of cash this fiscal year...

1. LM does not pay any dividends.

2. Preferred shares always have a higher dollar value.

3. If the company fails preferred shared holders at settlement time can, if available, can get some cash out.
