It is a pure fiction to say that SFMI is giving Omni 2.45% position in ordinary, unrestricted common shares that they can dump into the market from day 1.

Here is EXACTLY what it says:

The Registrant agreed to issue Omni upon signing of the Agreement shares of restricted Class A Common Stock which would equal 2.45% of the outstanding share of Class A Common Stock of the Registrant determined on a fully diluted basis after giving effect to the issuance.

RESTRICTED SHARES!!

They can not even convert them until the agreement is well underway to getting delivered on by Omni bringing clients into SFMI as an investment.

What are they going to do? Undermine their own clients? Violate the part of the agreement that says

N. Neither Omni View nor its affiliates shall short the Company’s stock.

Pure fiction to allege that SFMI shares are just going to get dumped and shorted twilly nilly from the gitgo.

With what? Shares they can't even use?

And if they bring in $5 million in delivered deals with their clients, they get 2.45% more, so then they are going to screw their own clients by dumping and shorting?

Fiction.

Pure fiction.
