I believe for tax reasons the SRGE/NYSE big boy $1BN JV

How many real companies do you know that has all the press releases and paid promotions about a HUGE buyout/JV and the PPS keeps going in the RED.

The answer is NONE - the word is out that SRGE is a scam doing a Pump and Dump.
