The Company is authorized to issue 1,000,000 shares of the Company’s Series A Preferred Stock. As of December 31, 2011, 0 shares of the Company’s Series A Preferred Stock are issued and outstanding. One share of Series A Preferred Stock entitles holders to 100 votes for all matters submitted to a vote of the Company’s common stockholders.
