Illegal issued share by the company and it’s internal TA. They are not counterfeit, that is made clear in the SEC judgment, they were in fact ILLEGALLY ISSUED shares they were not eligible for exemption. The fraud of forgery is a different subject in itself but none of which are counterfeit due to the certs being actual certs.

The regulation you cited does not cover illegally issued shares only those legally issued.
