When you consider a full on, 100% purchase of assets and good will of a client base, the process is relatively straight forward. It takes a lot of time to get all the details figured out and even such a "simple" process is incredibly daunting.

A merger would be extremely complicated, by comparison.

It's obvious when reading the comments here that a lot of people don't understand the complexities of negotiating terms and covering all bases. There are minute details one would never consider that need to be addressed, negotiated and agreed upon before anything is final.
