Form D Rule 504 SEC Filing for 1 million bucks?

Am I reading this right? Why is this filed with SEC and not showing up on OTC Market Disclosures?

This is Dustin Offering and Selling 1 million dollars worth of stock?

We got all these preferred B share holders that convert to common and Dustin s bringing in more, selling more shares?

Tell me I am wrong, Please.

If ANDI is doing well, why would Dustin need to raise a million bucks? I don't get it.
