dyna....part 2 first..part the agreement in the 10k for the lease you are referring to is pasted below...appears to include the services of 3 engineers and 2 machine operators as well as the facility.....don't know the answer yet to your question on the director warrants...still reading...

Lease and Services Agreement

Between:

Robert C. Horton as Landlord, and

Torvec, Inc., as Tenant

Witnesseth:

The Landlord hereby leases to the tenant the premises located at 38 Foster Rd., Canandaigua, NY, said premises constituting a 3,131 square feet facility consisting of a 308 square foot office, a 231 square foot conference room and a 2,592 square foot machine shop and manufacturing facility commencing on March 1, 2005 and terminating on the last day of February, 2006, to be used and occupied for Tenant's automotive business only. Landlord shall during the Lease term, furnish the services of three engineers and two machine operators at the facility.

1. Rent

Tenant shall pay monthly rent of 10,000 shares of the Tenant's common stock which stock shall be freely tradable by Landlord upon receipt payable in advance on the first day of each and every month during the term of this agreement and any extensions thereof. The amount and nature of such rent shall be adjusted by the mutual consent of the parties.
