Legally, stocks are considered assets of a company. Must I highlight another phrase from the PR for you:

to consider and vote upon a proposal to approve the Asset Purchase Agreement, dated as of February 13, 2012 pursuant to which the acquirors will purchase substantially all of the assets of the Company
