As far as I can tell S-1 filings generate between $100-750k per client. R/M's seem to be around $100-200k if I understood correctly and convertible debt grows at the interest rate its set at plus a 100-120% mark-up upon conversion.
There's lots to play for here.
If the TA is gagged you can bet it's not in the shareholders best interest.
