Rules for buy backs?

I remember seeing on another companies board that there are certian restrictions for a company buying back its stock off the market.

Does anyone know if that is true and what those rules are?

I thought one of the rules is that the company can only buy back on the bid. If this is so, then how does one tell if BCAP is buying back shares and MMs are shorting? Additionally, in the presence of a stock buyback, if shorting indicators are purchases below the bid, isn't this good for a stock buyback because the company can spend less money buying shares due to the artificially lower price?
