This is the way I read the ownership issue ...
MILV acquired 100% of NBI for 652,780,600 common shares of MILV. That makes NBI a wholly owned subsidiary of MILV. Those shares MILV used to acquire NBI represented 72% (of the then) common shares of MILV. The key here is the use of the term former shareholders in the announcement. NBI doesn't own the shares, the (former) insiders of NBI own the MILV shares, which means deZanger and whoever else held stock of NBI at the time of the swap.
NBI --> MILV --> de Zanger, et. al.
