You will notice in November they switched accounting firms because

Jayhawk Energy, Inc. (the “Company”) was notified that the audit practice of BehlerMick PS, the Company’s independent registered public accounting firm (“BehlerMick”), was reorganized, following the departure of the former managing partner in December, 2010. As of November 1, 2011, BehlerMick resigned as the independent registered public accounting firm of the Company and upon recommendation of the Audit Committee of the Company’s Board of Directors, the Company accepted BehlerMick’s resignation on November 4, 2011.



My bet is the new firm discovered the discrepanies.

All good IMHO. I would not want this happening once the stock has reached a much higher PPS where IMHO it is heading... Dont see any restatements in 2011.

I say clean it up now because great things are about to happen regarding the oil sector, their reserves, the Williston area, and future growth.


On January 5, 2012, representatives from the Company's financial management and our
independent auditors held a conference call with the Securities and Exchange Commission's
Office of the Chief Accountant ("OCA") and Division of Corporation Finance. During the call,
we addressed certain issues regarding the financial statement presentation of convertible
debentures and associated derivative liabilities not previously recorded that occurred on
December 14, 2009.
On January 13, 2012, the Audit Committee of the Board of Directors met to discuss the need for
restated financial statements due to incorrect presentation of convertible debenture and
associated derivative liabilities that occurred originally on December 14, 2009. The Committee
has discussed this situation with current auditors and the successors to our former auditors
We plan to restate the financial statements that were included in our previously filed Form 10K
for the year ended September 3, 2010, and in the Form 10-Qs for the periods ended March 31,
2010, June 30, 2010, and September 30, 2010.
