But Gene knew or should have known that multiple attorney letters were required for Gendarme to buy that many shares from RCCH and receive them without violating the 5% threshold rules.
Gene must have assisted in issuing out the shares to avoid the rules.
Hence Gene is a co-conspirator with Gendarme.
