Isn't the fact that RCCH relied on Gendarme's attorney's written statement the whole basis for the suit filed by SEC? I think Gene is covered by that erroneous letter. It still doesn't excuse the fact he was resorting to "toxic" financing (selling shares at a huge discount) in the first place.
