even if they did, per SEC filed document (form D), those funds are NOT being raised
"in connection with a business combination transaction, such as a merger, acquisition or exchange offer"

..so that $1.2mm has very little to do with $10.77mm needed to complete the merger, unless IWEB management intended to deceive and mislead investors?!
