I'm not sure exactly we're you're going except you seem to be wanting to develop a legal case against the company...and I'm not going there. But I will say this: In 40 years of doing this, helping hundreds of companies and watching hundreds of others, I have yet to hear a CEO say "don't buy my stock." A CEO always has to be brimming with confidence that they can succeed, that their company is a worthy investment, or what good are they.
