The lesser the pps the greater number of shares required to satisfy the Converson of the note ..At a greater price the note holder would become a significant Shareholder (Which from 2005-2007 became clear as undesirable)...This was the way Rip made his money!...By shorting and diluting good companies to death..It brought him instant cash instead of the long way in getting returns as a shareholder.! All this can be found in reference on the NIR board...SC
