The company was SGD (Pink Sheets: SGDH) . There could have been funding issues on SGDs side. We don't know for sure. You can go back a year and check the SGDH board for more information on that. Metiscan wasn't making any money so they may have been on a search as what to do to fix things. Personally, I think Aclor saw the merger as a great way to grow the company. Good numbers will give Aclor a way to raise capital, pay down debt and grow the business. Time will tell.
