I fail to see how stating what was apparently stated is "material" information. None of us know what the announcement is. If we knew the substance of the announcement, then that would be "material".

For all we know the announcement could be that there is no merger or that the merger won't take place until November. Telling someone there's going to be an announcement is not releasing "material" information.

The entire argument revolves around both the definition of, and what constitutes material.
