GSML Basic DD & Possible Mayan Gold R/M

Facts

1) A/S is 150M, O/S is ~85M Float is ~38M as of September 30, 2008, and at last business a R/M with Mayan Gold was in the works here in 2008

Here is the link to the last GSML financials stating so, along with a purchase agreement for Mayan Gold ($60M for 51% back in 2008)

Here is a link to the conference call going over the details:

Here is Mayan Gold today, its still private, and still wants to become public:

2) The R/M failed in early 2009 as GSML could not come up with the money needed, and the GSML managment of the time, left

3) GSML is now a shell, has about ~26M in NOL's, which if applied to any revenue, would be about a $10.5M asset and attractive to any company with revenue/profit looking for a R/M

NOL's page 17 here:

4) New management is in GSML with business PR'd Sept 1, 2011 to be moving in. Not sure which business yet, at least officially anyway

5) Mayan Gold has a link to G & S Minerals right on the bottom of its homepage. It links to GSML's old website.

Possibilities

1) In September 2010, Mayan Gold tried another attempt at a R/M. This time with Razor. They sold out to Razor, and announced they plan to be doing 500 ounces of gold per month, targeting 1000 ounces of gold/month after that.

2) The R/M with Razor fell through early this year and Mayan said this on March 30th, 2011:

"With this in mind, we are already in negotiations with several
other mining companies and hope to bring this concession to market in the very near future."

3) The very next day on April 1, 2011, G & S came back to life on Nevada SOS:

4) G & S Minerals added "International" to its name. The Clavo Rico mine, is in Honduras.

5) Mayan Gold currently wants to go public and have a net worth in excess of $100M, which they can get if they are doing 500 ounces of gold/month, or 6000 ounces of gold/year. They would be earning about $1000/ounce net, or $6M net profit per year. Use PE 20, that's net worth of a whopping $120M. (Keep in mind, they aim to get to 1000 ounces of gold/month, which would make the company worth $240M if that were to occur)

6) In July 2011, 2 months ago, yet another update from Mayan announcing the increased capacity will be ready for Q4 2011 and they have done it on their own, but still want to go public.

7) Here is where it gets really interesting. Since Mayan Gold is now again looking to go public after the Razor deal fell through in May, you'll note that any news in 2011 has been taken down off of the Mayan Gold website. Its all cached now...I had been looking at the Mayan Gold website for a while and the news was on the website this summer until, on September 1, 2011 they took it down! September 1, 2011 is the very same day that GSML announced it will be getting back into business(THIS MARKS THE SECOND TIME THIS YEAR THAT ONCE MAYAN GOLD MAKES A PUBLIC CHANGE, GSML ALSO MAKES A CHANGE) Check whois below for the latest activity on the Mayan Gold website and you'll see, as of now, the last updates, September 1, 2011.

8) The final piece of spec info is the new GSML President Torsten Leines. Any search on who he is shows that he works in the Capital Markets Industry

http://www.linkedin.com/pub/torsten-leines/11/121/a15

9) I may have the wrong Torsten, but I think not. There is only 1 guy in the whole U.S. named Torsten Lienes, and has moved a few times in the last 10 years between different capital market jobs. IMO, it is quite possible he is the next in line to take a stab at getting this Mayan Gold R/M done. At this point, Mayan may not need cash at all, and may be looking for just stock in a public company. Stay tuned.
