Simply not true. Pike had to file within 10 days of crossing the 10% ownership threshhold. SPNG had registered shares with the SEC and filing compliance is(was) mandatory. It was the 2+ billion shares they sold that were unregistered that was the problem. Well, that and little things like bogus sales.
