Looks like this is just a specific point in the agreement that they made, probably to make sure that Formula had the money.

I'm thinking that you may see the deal voted down by one big shareholder, and possible a little higher buyout price. Just a guess.

That's why I'm here is to learn from this experience. There're several thing you just don't know here. When you're dealing with buyouts there're always some uncertainty until the money is put into your account.
