Badge, relax - I was just joking , there is nothing to talk about this days - summer doldrums.
All right, I will attempt to answer your question for real now:

As I mention before, spin-out will occur sometimes in the late Fall of 2012.
The Date will be retroactive. None of us know exactly, but we can guess that it would say something like :
... retroactive to shareholders of record on August 2012.
