05/05/11 Shareholder Update

Attn Shareholders:
We have not received a final commitment from the letter of intent announced on March 1, 2011. That company has not provided nor requested any additional information. We have signed a new letter of intent and are canceling the rights to the letter of intent announced on March 1, 2011.

The new letter of intent is with a private company that has expressed a strong interest to complete a merger during the month of May. This company currently provides a very active platform that allows its existing members to promote themselves. Members are able to participate in a variety of contest and promotions for exposure on the company's site and other nationally known media outlets, social media and video-sharing networks.

We believe that this company, its executive team, current investors and participating members provide many options for building Guard Dog's future success. We further believe that completing this merger will provide immediate and long-term value for Guard Dog's shareholders.

We are also finalizing the information needed to update our first quarter financials in order to maintain the current status recently obtained on www.otcmarkets.com. This information needs to be updated on or before May 15, 2011.

Guard Dog will continue to operate as a holding company and to entertain other business opportunities while legal requirements are fulfilled. We will provide another update on or before May 13, 2011. An official press release will be announced once the merger is completed.
