You certainly have every right to vote the way that you think best. You also have every right to state HOW you voted, without saying WHY you voted that way. However for the life of me, I really don’t understand why shareholders are voting FOR Mr. Campagna.

If you just look at the compensation issue alone, it should be apparent that things are not right with compensation at IDCC. What did Harry do or contribute to be the highest compensated individual at IDCC? What did Mr. Roath, the other member of the compensation committee, do or contribute to earn all of his extra compensation? Why are the other outside directors at IDCC compensated at Base amounts comparable to Fortune 500 companies, rather than a small-cap company?

Why do we now have a new Long-Term Compensation Plan (LTCP), in addition to the Bonus plan? This new plan will probably add an additional $15.6m or $156,000 of average incremental compensation per employee in 2005, for about 100 of the covered employees. This new LTCP amount is over and above the existing Bonus Plan, which already provides additional compensation for ALL of IDCC employees, beyond their base salaries.

Then you should ask yourself who has been and who continues to determine compensation amounts at IDCC? The final question to ask is whether these compensation amounts are reasonable and ethical? If they are excessive and not ethical, do you really want to vote the same individual who is responsible for this back into office?
