I called them and asked the investor relations lady this question. She said that all they wanted to do was send the voting proxy material in the mail and this was all. She basically said that they didn't have to because they're a pink sheet company. Judging from their past filings (almost none) they don't want to spend the resources in this area which in bad for the stock but I guess saves them money. That's my guess.

I also asked them about Formula 51-2, LLC ability to pay the money. She said that they believed that there is no problem. Again, this isn't investment advice, jusy my own research.

I will never forget in the early 1990's that Eljer plumbing was 12.00 a share and a buyout bid came for about 24.00. The stock shot up to about 22.00, then the company withdrew the offer and it fell back to around 12.00.
