He sold unregistered shares while in posession of material non-public information (that a major government contract did not exist and that the SEC was investigating). All the while his affilates at BAC kept promoting the false government contract and also selling unregistered shares while in possession of material non-public information. The SEC's case against BAC is ongoing.

I was very disappointed at the slap on the wrist Grocock received. Apparently he can still represent PK or any public companies.
