The most likely scenerio will be to value both companies. Then decided on new structure(authorized shares). Exchange shares old for new. This is called a reverse merger NOT split. Value is Value. This is one way to bring a private company public. Everyone benefits in the short and long run. I've seen some amazing action in PPS of a public company when doing this. I'm not talking pennies.
