So is ACT Teleconferencing Inc still a publicly trading company or are they private now?

Back in 2007 they apparently did a share buy back then filed to be deregistered immediately afterwords

They haven't filed anything since then

The two people on the Colorado filings now - Jennie McQuade and Colleen Irwin were not affiliated with ACT Teleconferencing before they deregistered that I can find - they are definitely not listed as officers in the company at any time during the past filings with the SEC

When and how did they take over control of the company?

The old officers just disappeared from the CO SOS filings (they still appear on the website as officers) starting with the very next filing after the Form 15 was filed with the SEC and Jeannie McQuade shows up in their place on the CO SOS filings - maybe she just took over for Lisa Kaiser?


This website (last updated in Nov of 2010) lists them as a private company:

None of the press releases by the company including the ticker symbol ACTT on them - that's odd

Starting with the very next press release in December of 2007 - no more ticker symbol

Why not let people know you are a publicly trading company any where on your website or press releases? Maybe because they have been private since August of 2007?

I contacted the online customer service people from their website and got 3 different responses in 3 tries:

[Visitor] Is ACT conferencing a publicly traded company on the stock market trading under stock symbol ACTT?
[Grace] Hi my name is Grace, the customer service team member. ACT conference is not a listed publicly traded company

[Visitor] Was ACT on the stock exchange before and was taken private or were you always a private company
[Grace] Yes, ACT was on stock exchange before but not from now
[Visitor] Do you know how that happened because the old ACTT stock still trades. Did management do a buy back and take the company private again?
[Grace] Excuse me I'm unable to answer your question, would you please leave me your contact phone number and I'll have the responsible department contacted you for more information

So what the heck is going on?

Is this now a just a public shell that has been pumped up by message board posters?

I will be very interested to see what Irwin and/or McQuade have to say about this
