Nextech3D.ai signs LOI to sell majority stake in Toggle3D.ai securing strategic non-dilutive capital

Nextech3D.ai CEO Evan Gappelberg joined Steve Darling from Proactive to announce a pivotal strategic development for the company. Nextech3D.ai has entered into a Letter of Intent to sell up to an 80% equity interest in its spin-out subsidiary, Toggle3D.ai, to TQG Technologies. The proposed transaction not only transitions Toggle3D.ai into its next phase of evolution under new majority ownership, but also provides Nextech3D.ai with a non-dilutive capital infusion of CAD $610,000, strengthening the company’s balance sheet and strategic flexibility without impacting existing shareholder equity. Gappelberg explained that the transaction will be structured in three tranche wuth TQG Technologies acquireing 11 million shares of Toggle3D.ai for CAD $610,000 in cash. Contingent on the closing of TQG’s capital raise, an additional 5 million shares will be purchased for CAD $276,000. The final stage will complete the 80% acquisition through a combination of share purchases and the vending-in of TQG’s strategic assets into Toggle3D.ai. As part of the agreement framework, a non-refundable deposit of CAD $177,000 will be paid by TQG upon the finalization of the deal’s structure by its management. Further milestone-based payments are scheduled to be completed by August 2025. Additionally, Nextech3D.ai stands to receive a performance-based bonus of CAD $710,000 if TQG successfully closes a financing round of at least USD $5 million by that time. Arizona Gold Project yields highest grades for core to Date at Philadelphia Project

Arizona Gold and Silver Vice President of Exploration Greg Hahn spoke with Steve Darling from Proactive to announce a major milestone at the company’s Philadelphia Project in Arizona, reporting the highest gold grades to date from core drilling on the property. The standout result came from drill hole PC25-136, which intersected 4.91 metres grading 9.20 grams per tonne (gpt) gold, highlighting a robust zone of epithermal quartz and calcite-bearing vein breccia within rhyolitic volcanic rocks. Hahn explained that this new high-grade zone, located in the Rising Fawn area, had previously seen limited exploration and lacked the drilling required for a formal resource estimate. The mineralized interval is surrounded by lower-grade stockwork, indicating a broader halo of gold-bearing material. PC25-136 is the first of six drill holes recently completed to test extensions of earlier high-grade intercepts, targeting both down-dip and along-strike mineralization. Hahn noted that the presence of abundant yellow and green quartz in this zone is geologically significant and comparable to mineralization seen in the historic Oatman gold district, suggesting strong potential for further high-grade discoveries. Importantly, this intercept appears to be relatively shallow in the vein system, enhancing the prospectivity as drilling continues to deeper levels. Alkane hits high-grade gold at Tomingley

Alkane Resources Ltd managing director Nic Earner talked with Proactive about recent high-grade gold intercepts and ongoing resource expansion at the Tomingley gold operations in New South Wales. Earner detailed strong results from underground drilling at both the Caloma and Roswell zones, with intercepts showing multiple grams per tonne over substantial widths. “We’ve had some very, very high-grade hits… tens of metres at plus ten grams in Roswell,” he noted, highlighting the significant contribution these results will make to near-term reserve updates and future production planning. The company is confident these results will support mine life extensions well into the 2030s. Reserve and resource updates, including for Caloma One and Caloma Two, are expected in the August–September period, following analysis of the June 30 data. Earner also touched on Alkane’s recent financial performance, stating: “It’s been a great quarter… we had a great cash build,” helped by strong production and a high Australian-dollar gold price. He confirmed guidance remains on track, with 17,500 ounces produced and expectations of reaching 19,000 ounces by quarter end. Arc Minerals expands portfolio with acquisition of Chingola Copper Project in Zambia

Arc Minerals Limited (AIM:ARCM) executive chairman Nick von Schirnding and chief operating officer Vassilios Carellas joined Stephen Gunnion in the Proactive studio with details of the company’s latest acquisition—the Chingola Copper Project in Zambia. Von Schirnding highlighted that the project is located in the northeast of the Zambian Copper Belt, an area known for high-grade copper deposits. The site is less than 30km from major existing operations, including Vedanta’s Nchanga Mine and Moxico Resources’ Mimbula Mine. He described the acquisition as strategic, adding that Arc Minerals has been pursuing it for 18 months due to its high prospectivity.
