I concur with your post. Think of it as the negotiation of a normal contract between a corporation and another party. Anything said by the president/officer of the corporation to that party (or party's attorney)is admissible to explain the meaning of the contract entered into by the corporation and the party . (That is why you never give a statement to insurance companies when you are in an accident cause it can be used against you. Anything you say about the accident to your own attorney is privileged.) Anything the president/officer said to the corporation's own attorney is privileged. What grinds my gears is that shareholders own the damn company and aren't allowed to waive the privilege on behalf of their own corporation. But whatever Kosturous said or prepared on his own (without involvement of the corporate attorney) are discoverable imho.
