Please correct me if I am wrong, but I thought "stock promotion" for purposes of SEC violations generally consisted of promoting a stock to the public in order to sell shares on the open market at an inflated price. How does offering stock to an employee as part compensation for services rendered fit within the "stock promotion" characterization?
