Caution: "New Zealand offshore finance companies"
The Reserve Bank advises that caution should be exercised by anyone considering doing any form of business with entities that promote themselves as "New Zealand offshore finance companies", or use similar descriptions, and that offer financial services either on-line or from locations outside of New Zealand.


No such category of entity is recognised under New Zealand law. The entities involved are usually just registered in New Zealand as companies or limited partnerships, and they have no special status. These entities are not licensed or supervised as financial service providers by any New Zealand authority. They are required to register a New Zealand address, but this is usually that of a compliance agent, with the entities having no real physical presence in New Zealand. These entities are often directed or owned by persons who are not resident in New Zealand. Details about the directors and ownership of these entities can be obtained by searching the on-line database of the New Zealand Companies Office.

"Nuplex Hires Bancorp NZ, First NZ To Mull Fundraising Options

Nuplex Industries Ltd. has engaged three advisers to help consider the terms of its debt and the need to raise capital, and expects to them to report within days. The company said that Bancorp New Zealand Ltd. and First NZ Capital Securities Ltd. would advise it on capital raising options. McGrath Nicol would review its forecasts and current financial positions, and would advise both the company and its banks on ongoing appropriate covenants. Managing director John Hirst said on March 9, that the company expected to receive advice from all parties in the near future. "By bringing in an independent person it gives everyone a lot more confidence, including our own board," he said."

Nuplex Industries Ltd [NPX.NZ] has been one of the worst performing stocks listed on the NZX in terms of returns to shareholders since its listing in Feb 1967 (we will start at an adjusted $2.50c per share from available 1995 data to make our comparison) $2.95c in net dividends (excluding the period 1967-1994. No data can be easily found for dividends) and 30% more in tax credits (see chart above) a 3:2 share split in 1993 and a 7:1 rights issue in April 2009 gives NPX a slightly more than minus 600% return (see chart below for the share price percentage gain against the average of all NZX indexes - does not include dividends, tax credits and the share split in its calculation) over the nearly 17 year listing of NPX (the period between 1967 and 1992 is excluded because no shareprice or dividend details are available so the return will be higher than stated here), an approximate annual net return just over minus 35%.

This is approximately a 300% worse return when compared to the average of all NZX indexes.
