What you're describing seems like a liquidation.
Use the cash pay to pay off the creditors.
Settle with shareholders and walk away or buy back the shares and go private.Avoid that pesky conversion (and the cost) of replacing old shares with new.

IMO nothing wrong with that after all the goal for most here is to exchange shares for cash at some point. Let the DOJ deal with illegals.
