They originally did not know or think they needed to file a reg statement. I think they said they received an opinion from someone that said they did need to file after announcing the divys.

They have to file a reg statement. See this:

It is not cause they want tradeable shares. I don't know if they would have to have Q3 done or not, but Qs dont have to be audited. So, in theory, it should not take too long.

This is not a normal share dividend. Its a spin-off.
