Reg D is a vehicle for Mellon Research to HELP its clients obtain financing by providing "boutique micro-cap venture capital services to private mid cap companies." The idea seems to be to provide financing to a LOT of small and mid-cap companies while simultaneously taking equity positions and sharing the divs with the shareholders of Mellon Research.
