The EyStar SmartHome Management System is a gateway device that bridges external data networks such as the Internet to internal home networks like Ethernet, telephone line, power line and the 802.11b wireless LAN, eliminating the need for any additional wiring in the home. The Console has the capacity to enable value-added services to be offered to subscribers. These services include home healthcare in conjunction with hospitals and health advisors, interconnection and control of appliances produced by different manufacturers and security applications that allow subscribers to check on their homes remotely. This console is designed to operate on both the narrow and broadband fixed line/wireless networks. Biometric Security Products and Solutions The company engages in the development, commercialization and installation of biometric security products and solutions. Through licenses obtained from third parties, it sells biometric security products and solutions directly and in connection with consulting and service contracts. The company develops value-added applications incorporating biometrics technology as part of its information technology and wireless technology consulting activities. The company sells SmileCAM remote video surveillance cameras in Malaysia under a renewable license from Sintec, Inc. It also distributes biometric security products under an agreement with Testech, Inc. the company’s biometric products and solutions, sold directly and in conjunction with consulting and installation contracts, include: access control systems, time and attendance systems; and door lock and fingerprint authentication module; and remote cameras with automatic motion detection and tracking. Its biometric security products and solutions utilize Internet protocols and multiple authentication modes such as fingerprint, voice or facial recognition, retinal scans and proximity readers. It markets biometric security products and solutions directly to real estate developers and architects. Bluetooth Proximity Marketing System In November 2007, the company acquired the right to the source code for the Bluetooth cell integration, cell management and proximity marketing software. It utilized the source code to develop a host of applications for the retailing, logistics and warehousing, telecommunication, transportation, healthcare, security and manufacturing industries. The company develops the Bluetooth Proximity Marketing System (BPMS). BPMS is a method of sending advertisements to Bluetooth-enabled cell phones utilizing the unlicensed universally recognised 2.4GHz ISM (industrial, scientific and medical) radio frequency (RF) band. This RF band is allocated by the Geneva-based International Telecommunication Union and is not subjected to any licensing requirement by its members that include the United States, China, Malaysia and Australia where the company conducts its business. With a transmission range between 3cm to 300m, its BPMS can handle 105 concurrent transmissions per cell. The company’s customers include either owners or operators of airports, bus stations, train stations, billboards, shopping malls, cinemas, restaurants, sports arenas, concert halls and exhibition centers. RFID Applications The company purchases the customized multiband (13.56 MHz to 2.45 GHz) RFID chips from third parties to meet its specific requirements. Measuring 0.5 x 0.5 cm, the RFID chip does not require line-of-sight to be detected thus enabling it to be embedded into almost any material including paper. A RFID system consists of a transponder, or the RFID chip, a reader and an antenna for communication between the RFID chip and the reader. EyStar Personal and Vehicle GPS Tracker The company’s EyStar Personal and Vehicle GPS tracker operates under the worldwide GSM/GPRS network featuring quad-bands (850/900/1800/1900 MHz) and uses a high sensitivity GPS receiver for near-indoor tracking. It can be used as an emergency cellular phone with speed dialing for two-way voice communication, place a silent call to an emergency number or police using a digital voice and text to report location, date and time. Any navigation or Google Earth map can be used for the tracking. The EyStar Personal and Vehicle GPS tracker can operate in both SMS and GPRS modes. This gives its tracker the ability to transmit its position as a text message or it can be monitored in real-time via the Internet. The tracker has an ‘electronic fence’ feature that can trigger an alert when the device enters or exits a pre-defined area. This is ideal for school security, field trips, correctional departments, car dealerships, VIPs and security guards. The EyStar Personal and Vehicle GPS tracker's primary function is to help locate missing children, reduce kidnapping and provide help for critical situations where immediate assistance is required. Dispositions In June 2007, the company sold its wholly-owned subsidiary, DigitalApps Technologies Sdn Bhd (DAT), which included its 55%-owned subsidiary, Ispec Sdn Bhd (ISS). Patrick received his university level education in the United Kingdom. A food scientist by training he also holds a graduate level diploma in management studies. A specialist in industrial dairying, he began his career as Technical Consultant at Unigate Foods, Ltd., United Kingdom. He returned to Malaysia in 1976 to join the Fima Group, a quasi government food production company. During his career at Fima, he was nominated by the Government to represent Malaysia on the Food Standards Committee of the World Health Organization and was co-opted as member of the Malaysian Food Standards Committee. Patrick left Fima to establish the first privately owned milk pasteurization plant in Malaysia. In addition to his current responsibilities at SDGL, Patrick also advise Malaysian content developers in the production of multimedia content and value-added applications for the broadband industry.

Kamaruddin Bujang

Kamaruddin received his Advance Diploma in Architecture from MARA Institute of Technology, Selangor in 1982. He brings with him over 25 years of management experience from project inception to completion. His previous involvement in the design, construction and operation of smart buildings has helped building owners, managers and tenants to optimize cost effectiveness and functionality.

Prior to joining SDGL, he served as Project Architect at DMP Architects from 2004 to 2009. He was responsible for preparing and presenting design proposals to clients, negotiating with contractors and other professionals, coordinating the work of contractors, ensuring that the projects are running within the agreed timescale, keeping within the financial budgets and deadlines and solving problem that might occur the construction period. He served as Property-cum-Project Manager at Pantai Bahru Development where he was responsible for the design, construction and sales of several housing development projects implemented by the Company. 20-50% reduction in initial capital cost.

Battery based renewable energy systems are 20% more efficient if the power is used as it is being produced. The efficiency of our solar-wind hybrid system is increased by combining wind which is operational 24 hours a day.

Using energy as it is being created reduces cycling in the battery that will enhance battery life.

Multiple renewable energy sources require a smaller battery bank while ensuring 24 hour power.

SOS Emergency Help Call Function
When the driver of the vehicle presses the SOS button, SOS-03 will immediately send SMS message and make phone call to the person whom you preset in the system. In case it fails to contact the first priority person, it will then send SMS message + make phone call to the next priority person; and then to the 3rd/ 4th/ 5th/ 6th priority person - until one of them receives the phone call. Reorganization and Award of Contract for its Solar-Wind Hybrid System

Recent SEC Filings

NT 10-K on 2009-03-31. This means that the company is late filing its annual report. It has not filed those financials. Last financials available are from September 30, 2008 period and the
December 31, 2007 period (3 months for both). It also includes the financials for Nine months ended September 30, 2008 and 2007.

8-K filed on 2009-05-26. It stated the following:

(b)Effective May 22, 2009, Aik-Fun Chong, the Company’s Treasurer and Chief Accounting Officer resigned as a Director. Mr. Chong had served as a Class I Director since March 11, 2009. His resignation was not due to any disagreement with the Company. He will continue to serve as Treasurer and Chief Accounting Officer of the Company.

(c)Effective May 22, 2009, Kamaruddin Bujang (54 years) was appointed as the President and Secetary of the Company. Prior to joining the Company, Mr. Bujang served as Project Architect at DMP Architects from 2004 to 2009. The Company intends to enter into an employment agreement with Mr. Bujang but has not yet done so and therefore the material terms of such agreement, including compensation terms, are not yet available. The Company will file a brief description of the material terms of such employment agreement as an amendment to this Current Report on Form 8-K within four (4) business days after such information becomes available.

Mr. Bujang does not have any family relationship with any director or executive officer of the Company. There were no transactions nor are there any currently proposed transactions in which the Company or any of its subsidiaries was or is to be a participant in which Mr. Bujang or any immediate family member of Mr. Bujang had, or will have, a direct or indirect material interest.

(d)On May 22, 2009, the Board of Directors of the registrant approved the appointment of Kamaruddin Bujang to serve as a Class I Director of the Company until his successor is duly elected and take office.

There is no arrangement pursuant to which Mr. Bujang was selected as a director, and there are no related party transactions between the Company and Mr. Bujang that are reportable under Item 404(a) of Regulation S-K.

Next was an 8-K filed on 2009-10-22. It stated the following:

Resignation of Chief Accounting Officer

On October 20, 2009, Aik-Fun Chong resigned as Treasurer, Chief Accounting Officer and principal financial and accounting officer of the Company effective October 22, 2009 to pursue his career goals. Item 8.01. Other Events.

On October 16, 2009, the Company provided its shareholders with an update on its corporate vision and restructuring plans. A copy of the press release is furnished herewith and shall not be deemed to be "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, (the "Exchange Act"), or otherwise subject to the liabilities of that section, nor shall it be deemed to be incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act.

Then, an 8-K on 2010-05-13. It stated the following:

On May 12, 2010, Secured Digital Applications, Inc. (the “Company”) and Active Valor International Limited (“AVI”) executed a Stock Purchase Agreement to sell the remaining 10% equity interest in Malaysia-based DigitalApps Sdn Bhd to AVI for $800,000. The transaction is intended to close within 45 days from date of the Stock Purchase Agreement.

The Company’s sale of its 10% equity interest in DigitalApps Sdn Bhd represents the divestiture of a non-core asset. The Company plans to focus on its growing solar and wind energy generation, SmartHome and logistics control operations in Asia.

Prior to this intended transaction, AVI owned 90% equity interest in DigitalApps Sdn Bhd.

Next was an 8-K filed on 2010-06-01. This stated the following:

On May 31, 2010, Secured Digital Applications, Inc.’s Malaysian subsidiary, Juta Ketara Sdn Bhd, entered into a binding Letter of Intent with BlueCircle Technology Sdn Bhd, a Malaysian corporation (“BlueCircle”) with respect to the purchase of all of the rights and assets, including but not limited to, accounts receivable; inventory at lower of cost or fair market value; certain assets; customer lists; databases; sales, service and vendor contracts constituting the solar energy business of BlueCircle (the “Transaction”). The purchase price for the rights and assets subject to post closing adjustments is approximately $1.55 million payable at the closing of the Transaction.

No director, executive officer or person who may be deemed as an affiliate of Secured Digital Applications or Juta Ketara has any direct or indirect interest in BlueCircle Technology.

BlueCircle, a vertically integrated company dedicated to leading-edge solar energy solutions, provides engineering, manufacturing and solar system installation expertise, as well as advanced technology for electrical power storage.

Upon successful completion of negotiations and due diligence, the parties intend to sign a definitive agreement and complete the Transaction within forty five days from date of executing the Letter of Intent. The consummation of the Transaction will be subject to making or obtaining all necessary third-party filings and approvals and satisfactory due diligence reviews.

Management believes that the proposed Transaction will benefit our shareholders and allow them to participate in the profitable development of Juta Ketara’s solar-wind power generation business under a larger, more diversified and consolidated infrastructure.

Dear Sirs,

This exclusive binding letter of intent (“Letter of Intent”) shall confirm our mutual intentions to engage in exclusive negotiations toward a formal purchase agreement (“Asset Purchase Agreement”) by which Juta Ketara Sdn Bhd will purchase all of the rights and assets, including but not limited to, accounts receivable; inventory at lower of cost or fair market value; certain assets; customer lists; databases; sales, service and vendor contracts constituting the solar energy business of Seller (the “Transaction”) subject to completion of a due diligence and agreement on the final terms and conditions of the proposed Transaction.

For purposes of this Letter of Intent, Juta Ketara Sdn Bhd will be referred to as “Purchaser” and BlueCircle Technology Sdn Bhd will be referred to as “Seller.”

1. Negotiation of Definitive Agreement. The parties shall proceed to engage in negotiations in an attempt to agree upon and execute the Asset Purchase Agreement as soon as practicable, but in no event later than forty five days from the date of the Letter of Intent. The rights and obligations of the parties shall be set forth in a Asset Purchase Agreement to be agreed upon and executed by the Purchaser and Seller.

2. Purchase of Assets and Contracts. Purchaser will purchase from Seller, and Seller will convey to Purchaser, all of Seller’s title and interest in and to certain of the assets, tangible and intangible and wherever located, which are owned by Seller and used in or necessary for Seller’s business (the “Assets”). Such rights, titles and interest in these assets include without limitation the machinery and equipment, testing devices, computer equipment (hardware, software, peripherals, laptops, etc), any tooling and any other types of fixed assets required to perform on the contracts secured by our company and which assets and contracts are being transferred to Purchaser. Incident to the purchase of the Assets, Purchaser will assume the current obligations associated with the listed Assets at the closing to the extent that such liabilities and obligations have been incurred in the ordinary course of business consistent with past practices and are specifically identified in the Asset Purchase Agreement.

3. Purchase Price. The purchase price for the rights and Assets subject to post closing adjustments will be approximately $1,550,000 payable in cash at closing.

4. Exclusivity. Seller agree that it shall not negotiate with any parties other than Purchaser and/or affiliates thereof with respect to a purchase of certain operating assets and contracts of Seller for a period of forty five days from and after the execution of this Letter of Intent.

5. Due Diligence. Purchaser will have the right to conduct due diligence investigation of the business and assets of Seller as Purchaser, in its sole discretion, deems appropriate. If the results of this due diligence investigation are unsatisfactory to Purchaser, in its sole determination, then Purchaser will have the option to terminate the Asset Purchase Agreement

6. Confidentiality; Publicity. Each of the party shall maintain the confidentiality of and shall not disclose any of the terms and conditions of this Letter of Intent (including its existence or the fact that the parties are in negotiations) and any other information related to the other party or its representatives or affiliates except to the extent required by law (provided that any party so required shall provide the other party with the contents of such disclosure as soon as reasonably practicable prior to making such disclosure). It is agreed that all press releases or other public communications of any sort relating to this Letter of Intent or the transactions contemplated herein, including the method of release for publication thereof, shall be subject to the approval of each of the parties hereto; provided, however, that the parties shall be entitled to make such disclosures as may be required pursuant to applicable law or the lawful requirements of any governmental agency or by order of a court of competent jurisdiction.

7. Termination. This Letter of Intent shall terminate and be of no further force and effect upon the earlier of (i) the date upon which the parties execute the Asset Purchase Agreement or (ii) the failure of the parties to execute the Agreement within forty five days from the signing of this Letter of Intent unless extended in writing by the parties. In the event of such termination, neither party shall have any claim of whatsoever nature against the other party,

8. Costs and Expenses. Except as otherwise specifically set forth herein, each party will bear its own expenses in connection with the contemplated Transaction, including, without limitation, any costs associated with this Letter of Intent and the Asset Purchase Agreement contemplated hereunder.

9. Effect of this Letter of Intent. This Letter of Intent is intended as a binding contract between the parties. It shall be mutually enforceable by each party as against the other.

If the foregoing accurately sets forth your understanding, please date, sign and return the enclosed copy of this Letter of Intent to the undersigned. In the event this letter is not accepted by you on or before 5.00 p.m. May 31, 2010, the provisions of this letter will be null and void.

Last but not least was an 8-K filed on 2010-06-15. This stated the following:

On June 14, 2010, Secured Digital Applications, Inc.’s Malaysian subsidiary, Juta Ketara Sdn Bhd, entered into Joint Venture Agreement with Triband Resources, a Malaysian corporation to develop and construct a solar-wind hybrid energy farm on a 101 hectare site in Selangor, Malaysia. Pending and subject to approval by the relevant regulatory authorities, the development and construction of the solar-wind farm is expected to commence in the fourth quarter of 2010 and completed in 2011.

The authorized share capital of the joint venture company will be Ringgit Malaysia Twenty Million (approximately US$6.06 million). Under the Joint Venture Agreement, the shareholding structure ratio shall be 70:30 with 30% held by Juta Ketara.

JOINT VENTURE AGREEMENT

This JOINT VENTURE AGREEMENT ("Agreement") is made on 14 June, 2010 by and between TRIBAND RESOURCES having its registered office at 10 Jalan Utama 1/2, Taman Perindustrian Puchong Utama, 47100 Puchong, Selangor, Malaysia (hereinafter referred to as “TR”) and JUTA KETARA SDN BHD having its registered office at 32B, Jalan SS2/66, 47300, Petaling Jaya, Selangor, Malaysia (hereinafter referred to as “JK”);

RECITALS

1. TR specializes in low risk, secure renewable energy investments that support the growing demand for clean and sustainable energy.

2. JK is engaged in the design, integration and delivery of cost effective horizontal axis wind turbines, vertical axis wind turbines and remote monitoring systems.

3. The parties wish to establish a joint venture among them to develop a 10 MW solar-wind hybrid energy farm on a 101 hectare site located in Selangor, Malaysia.

4. Pending and subject to approval by the relevant regulatory authorities, the development of the solar-wind hybrid energy farm is expected to commence in the fourth quarter of 2010 to be commissioned by 2011.

5. The parties wish to define their roles and responsibilities and provide the most effective and effective means to exploit the solar-wind energy production business in Malaysia and Asia.

THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS SET FORTH HEREIN, THE SUFFICIENCY OF WHICH IS HEREBY ACKNOWLEDGED, IT IS AGREED AS FOLLOWS:

1. FORMATION OF A JOINT VENTURE COMPANY

1.1 The parties hereto agree to form a joint-venture company (“JVC”) for the purpose of carrying on the following business:

A. establishing a 10 MW solar-wind hybrid energy farm on a 101 hectare site located in Selangor, Malaysia; and

B. to carry on any other business which may be usefully carried on in connection with such business.

1.2 TR or its agent shall incorporate a private limited company under the laws of Malaysia, which corporation shall be named Triband Solar-Wind Power Sdn Bhd.

1.3 The parties hereto agree that their respective shareholding in the capital of the JVC shall be in the proportion hereunder contained:

1.4 The authorized capital of the JVC shall be Ringgit Malaysia Twenty Million (RM20,000,000) made up of 20,000,000 ordinary shares of RM1.00 each.

1.5 Pursuant to this Agreement, each party shall subscribe for cash, the number of ordinary shares corresponding to its shareholding portion as outlined under item 1.3 above to provide the initial funds up to Ringgit Malaysia One Hundred Thousand (RM100,000) to finance the initial working capital of the JVC.

1.6 The parties hereto agree that the above equity structure may be amended in the future to permit new shareholders to participate in the equity of the JVC upon terms and conditions to be mutually agreed upon.

1.7 In the event of any of the aforesaid parties choosing not to exercise its rights, any shares not subscribed by one party within ninety (90) days shall become available for subscription by the other parties in proportion to the number of shares held between themselves respectively.

1.8 Notwithstanding Clause 1.7, JK shall be permitted to initially subscribe for fifteen percent with the remaining fifteen percent to be subscribed within six (6) months from date of this Agreement.

2. OBLIGATIONS OF THE PARTIES

2.1 TR shall be responsible for:

a) Applying to relevant regulatory authorities for necessary approvals prior to commencement of the project.

b) managing the financing and business of the Company.

c) providing support services including all initial management and operation personnel.

2.2 JK shall be responsible for:

a) Managing the engineering, development and construction of the solar-wind farm.

b) Securing the supply of the photovoltaic panels, wind turbines and supporting peripherals.

c) Providing remote monitoring of the solar-wind farm’s operations

2.3 Joint Obligations

a) Securing Power Purchase Agreements with utility companies.

b) Managing the operation and maintenance of the solar-wind hybrid energy farm

c) Procuring services of any third party service providers, whether in Malaysia or outside Malaysia, that provides products and services essential to the business operation of the Company.


3. SHAREHOLDERS' MEETING

3.1 The quorum necessary for holding any meeting of the shareholders of the Company shall be two (2) members.

Any resolution at any annual or special meeting of the shareholders of the Company relating to matters contained in Clause 4.8.9 shall be carried by a simple majority or more of the votes of shareholders present thereat.

3.3 Each party hereto shall have one vote for each share of which it is the holder and may be present at any general or extraordinary general meeting of shareholders whether in person or by proxy.

3.4 The shareholders shall exercise all voting rights and other powers of control available to them in relation to the Company so as to procure (insofar as they are able by the exercise of such rights and powers) that the Company shall without the prior written consent of all the shareholders :

i) create any fixed or floating charge, lien (other than a lien arising by operation of law) or other encumbrance(s) over the whole or any part of the undertaking, property or assets of the Company;

ii) borrow any sum (except from the Company’s bankers in the ordinary and proper course of the business) in excess of a maximum aggregate sum outstanding at any time of Ringgit Malaysia Twenty Thousand (RM20,000);

iii) make any loan or advance or give credit (other than normal trade credit) in excess of Ringgit Malaysia Twenty Thousand (RM20,000.00) to any person, except for the purpose of making deposits with bankers which shall be repayable upon the giving of no more than seven (7) days’ notice;

iv) issue any unissued shares for the time being in their respective capitals or create or issue any new shares, except as expressly permitted by the Articles of Association of the Company;

v) alter any rights attaching to any class of share in the capital of the Company;

vi) consolidate, sub-divide or convert any of Company’s share capital or in any way alter the rights attaching thereto;

vii) do or permit or suffer to be done any act or thing whereby the Company may be wound up (whether voluntarily or compulsorily) save as otherwise expressly provided for in this Agreement;

viii) issue any debenture or other securities convertible into shares or debentures or any share warrants or any options in respect of shares;

ix) acquire, purchase or subscribe for any shares, debentures, mortgages or securities (for any interest therein) in any company, trust or any body.

4. BOARD OF DIRECTORS

4.1 The Board of Directors of the Company shall consist of three (3) members, of whom:

(a) two will be nominees of TR
(b) one will be a nominee of JK

provided that in the event of any change in the proportion of the shareholdings of the parties hereto in the paid up capital of the Company, the rights hereinbefore conferred on the parties hereto to nominate their representative or representatives to the board shall be modified as to ensure approximately similar proportional representation.

4.2 The power of the parties to nominate Directors shall include the right to remove him/them at any time and from time to time and to substitute for other nominee or nominees in his or their place(s).

4.3 The Board shall meet at least once every three months and shall meet at such other time or times as may be deemed necessary by any member of the Board.

4.4 A Director shall be entitled to nominate an Alternate for such period as he shall deem fit and such power to nominate shall include the power to remove such alternate at any time and from time to time.

4.5 The quorum of any meeting of the Board shall be two Directors.

4.6 No business shall be transacted at any meeting of the Board unless in accordance with the provisions of the Bylaws of the Company.

4.7 A written consent shall not be effective unless signed by a majority of the Board of Directors or their respective alternate.

4.8 Resolutions of the Board pertaining to any of the following matters or any matter as the parties hereto may decide from time to time shall be effective only if it shall have been passed by the Board of Directors in accordance with the provisions of the Articles of Association of the Company:

4.8.1 the making of calls, options, the exercise of any lien or forfeiture of shares in the Company;

4.8.2 the payment of any dividend and the capitalization of profits by the Company:

4.8.3 the issuing of any guarantee or any borrowing by the Company in excess of Ringgit Malaysia Twenty Thousand (RM20,000.00);

4.8.4 any new undertaking by the Company of any business including but not limited to the acquisition of the whole or any part of any business or the reconstruction, consolidation, merger, amalgamation or engagement in any partnership or other joint venture of the Company with any other company, firm, person or persons;

4.8.5 any item of capital expenditure in excess of Ringgit Malaysia Ten Thousand (RM20,000.00) by the Company;

4.8.6 the lending of any monies to any company, firm or person or persons whatsoever;

4.8.7 the entering into any agreement which shall commit the Company for more than one year, or where the value exceeds Ringgit Malaysia Fifty Thousand (RM50,000.00);

4.8.8 the purchase and sale of real estate;

4.8.9 the recommendation to the shareholders in general meetings of the Company relating to any of the following matters:-

(a) change of the business of the Company as set out in Recital of this Agreement;

(b) any increase, reduction or alteration in the authorized, issued or paid-up capital of the Company;

(c) any alteration to the classification of shares in the Company or the rights and restrictions pertaining to such shares or shareholders;

(d) the transfer or conversion into stock of shares in the Company;

(e) any amendment to the Certificate of Incorporation and Bylaws of the Company;

(f) the Winding-up, reconstruction, consolidation or amalgamation, (whether with any other company, association, partnership or legal entity) of the Company other than as expressly provided otherwise herein; and

Save as otherwise required by the Memorandum and Articles of Association of the Company or by any of the provisions herein contained in this Agreement, all matters at meeting(s) of the Board of the Company or in meetings of the shareholders of the Company shall be decided by a simple majority of votes cast.

5. MANAGEMENT

5.1 The Board of Directors may employ such persons and at such compensation as it deems necessary and appropriate to further the purpose of the joint venture.

5.2 The Chairman of the JVC shall be a nominee of TR.

6. TERMINATION

6.1 In the event that any party to this Agreement files for bankruptcy, makes an assignment for the benefit of creditors or becomes subject to the supervision of a receiver or trustee, the other parties to this Agreement may upon 120 days written notice terminate the Agreement.

6.2 In the event that this Agreement is terminated, whether according to its terms or otherwise, the JVC shall be dissolved and shall wind up its affairs.

7. LIABILITY

Each Party acknowledges that it shall be responsible for any loss, cost, damage, claim or other charge that arises out of or is caused by the actions of that Party or its employees or agents. No Party shall be liable for any loss, cost, damage, claim or other charge that arises out of or is caused by the actions of any other Party or its employees or agents. Joint and several liability will not attach to the Parties; no Party is responsible for the actions of any other Party, but is only responsible for those tasks assigned to it. The Parties agree that in no event will consequential or punitive damages be applicable or awarded with respect to any dispute that may arise between or among the Parties in connection with this Agreement.

8. NOTICES

Any notice provided for in this Agreement shall be in writing and shall be either personally delivered, mailed first class mail (postage prepaid) or sent by reputable overnight courier service (charges prepaid) or facsimile transmission (receipt confirmed) to the address set forth on the signature page of this Agreement or at such address or to the attention of such other person as the recipient party has specified by prior written notice to the sending party. Notices will be deemed to have been given hereunder when delivered personally, five days after deposit in the mail, one business day after deposit with a reputable overnight courier service, and on the date of facsimile transmission.

A party may change its address to receive notices by providing written instructions to the other parties.

9. NON-COMPETITION

The parties hereto will not enter into any competing business nor appropriate unto themselves any corporate opportunity of the JVC.

10. CONFIDENTIALITY

10.1 The parties to this Agreement each covenant to hold strictly secret and confidential the proprietary and business information, trade secrets, intellectual property and all other information or commercial information concerning (i) the JVC or (ii) any party to this Agreement and shall not disclose such confidential or proprietary information to any third party except to the extent required by law (provided that any party so required shall provide the other party with the contents of such disclosure as soon as reasonably practicable prior to making such disclosure).

10.2 The provisions of this Clause 10 shall survive the termination of this Agreement.

11. GENERAL PROVISIONS

11.1 Amendments. No amendment or modification of this agreement shall be valid unless made in writing and signed by all parties.

11.2 Non-Assignability and Successors-in-Title. This agreement may not be assigned by any Party without the prior written consent of the other Party, such consent shall not be unreasonably withheld. This provision shall not apply in the event a Party changes its name or as part of the sale of the Party's business. This Agreement shall be binding upon the successors and permitted assigns of the parties hereto.

11.3 Force Majeure. No Party shall be liable, in respect to any delay in completion of work hereunder or of the non-performance of any term or condition of this Agreement directly or indirectly resulting from delays by Acts of God; acts of the public enemy; strikes; lockouts; epidemic and riots; power failure; water shortage or adverse weather conditions; or other causes beyond the control of the Parties. In the event of any of the foregoing, the time for performance shall be equitably and immediately adjusted, and in no event shall any Party be liable for any consequential or incidental damages from its performance or non-performance of any term or condition of this agreement. The Parties shall resume the completion of work under this Agreement as soon as possible subsequent to any delay due to force majeure.

11.4 Choice of Law/Venue/Jurisdiction. This Agreement shall be governed, interpreted and enforced under the laws of Malaysia without regard to any principles of conflicts of laws. The Parties agree that any dispute, claim, or controversy concerning this Agreement or the termination of this Agreement, or any dispute, claim or controversy arising out of or relating to any interpretation, construction, performance or breach of this Agreement, shall be settled by arbitration to be held in Kuala Lumpur, Malaysia in accordance with the Arbitration Act 2005. The arbitrator may grant injunctions or other relief in such dispute or controversy. The decision of the arbitrator shall be final,
conclusive and binding on the parties to the arbitration. Judgment may be entered on the arbitrator’s decision in any court having jurisdiction. The Parties will pay the costs and expenses of such arbitration in such proportions as the arbitrator shall decide, and each Party shall separately pay its own legal fees and expenses.

11.5 Headings. Article and section headings contained in this Agreement are included for convenience only and form no part of the agreement among the parties.

11.6 Inconsistencies. In the event that any provision of this Agreement should conflict with any provision of the Memorandum and Articles of Association of the JVC, this Agreement shall take precedence.

11.7 Severability. If any provision of this Agreement is declared invalid by any court or government agency, all other provisions shall remain in full force and effect.

11.8 Waivers. Waiver by any Party of any breach or failure to comply with any provision of this Agreement by another Party shall not be construed as, or constitute, a continuing waiver of such provision or a waiver of any other breach of or failure to comply with any other provision of this Agreement.
