Bo...I'm not sure if this is the "Rendall" filing that is being discussed.

The FORM 4 Rendall filed for the 50,000 that changed hands in March. First of all, FORM is

STATEMENT OF CHANGES IN BENEFICIAL OWNERSHIP

It tells if shares are acquired or if they are disposed of.

Somebody has to file that FORM 4. If shares are going to be acquired or disposed of, it's going to have somebody's name on that filing. Who's name is going to be on the filing? Rendell Williams.

Go down the bottom above Rendall's signature and read what you see in green print.

Explanation of Responses:
1. The Common Stock was transferred as payment of a fee to a marketing consultant under contract for the benefit of the Issuer. No monetary value was attributed to the stock under the terms of the consulting agreement.
2. The Amounts of Securities Beneficially Owned listed in the Reports on Form 4 filed on 4/29/04 and 10/22/04 by the Reporting Person are overstated by 50,000 shares due to the failure to timely file the transaction reported herein.


Now, that transaction was to pay a marketing consultant for his services which were valued at 50,000 shares. Isn't it possible that the CEO, Rendall Williams, since he's the one that would sign off on the FORM and his name would appear, is about to pay someone 672,000 shares on some type of JV deal or in payment for something or other? FORM 4 isn't necessarily for a sale of shares. It is for acquiring or disposing of shares. Why is it that these have to be Rendall Williams own personal shares? I don't think they are. I think these are USCA owned shares.

Secondly, I don't think Rendall Williams could dump 672,000 shares all at once even if he wanted to. There is a max that he can dump which is a percentage of the volume of the stock, and I can't recall those figures right now, but it sure wouldn't be 672,000 shares. Their current 10 day trading average is only 110,668. If someone has a link giving the percentage for the max # of shares based on volume, please post it.

I think everyone is jumping to conclusions and that this 672,000 shares is going towards a purchase of a mine or some kind of a deal. Rendall, as the CEO, can NOT just up and dump 672,000 shares. That's my opinion FWIW.
