The acquisition has to be all shares, the buyback is a pipe dream accomplished with future earnings.

BEDA is so far in the red it's critical that the market believe this acquisition is something special.
Otherwise, Graham doesn't buy enough time to try and pull this company out of the dumpster.

If the acquisition news is already baked into the PPS, and we get a dump on the news, Lord help the folks on this board.
