Pretty interesting this here 8k from decision point. Seems they borrowed some cash from Lane Capital Inc. Seems that the term are pretty stiff in regards to EVERYTHING except.
(e) the Company shall not enter into any transaction or series of transactions, whether or not in the ordinary course of business with any Affiliate other than with Cape Systems, Inc. (‘Cape”) and iTEK Services, Inc. (“iTEK”), which such transactions with Cape and iTEK shall be (i) disclosed in detail to the Purchasers, including, but not limited to, all terms of the transaction, and (ii) on terms and conditions at least as favorable to the Company in a comparable arms-length transaction with a person other than an Affiliate.
Seems there are some other interesting things in here. Like certain dates for instance. There's alot of stuff in here about DP entering into any material agreements, or new debt, or stock and divendend transactions and a host of other stuff except Cape Systems Inc. and Itek have been excluded form the agreement. meaning they can do any type of transaction with Cape Systems inc. and iTek. Hmmmmmm. I wonder why that is.
Notice it says Cape Systems Inc. You know. The one down in Allen Tx. The one that is Capes NORTH AMERICAN SALES Headquarters. You know. Cape Systems Group Subsidiary.
Hope you all are aware that a subsidiary can be LARGER than the parent company.
Hmmmm. Why would they even be mentioning the 'other' two companies anyway. Why would they be excluded from the agreements. Decisionpoint would be planning to do something with iTek and CSI would they. nah. Toms is a pinksheet, dilution scammer and by the way he's broke and selling shares for lunch money.
Seems we here at Cape have seen some of the dates listed in here before. I'll leave it to you all to figure the rest out.
